Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BW Horizons platform ("Platform"), operated by BW International Ltd, a company incorporated in England and Wales ("BW Horizons," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility and Account Registration
The Platform is available exclusively to verified business entities, professional investors, and institutional participants. By registering, you represent that:
- You are acting on behalf of a duly incorporated legal entity;
- You have the authority to bind that entity to these Terms;
- Your organisation has passed our KYC/AML verification process;
- You are not located in a jurisdiction subject to applicable sanctions.
BW Horizons reserves the right to reject any application or suspend any account at its sole discretion.
2. Platform Access and Subscription
Access to the Platform is provided on a subscription basis. Subscriptions are activated upon successful payment and remain in force until cancelled or terminated. All subscription fees are stated in USD and are exclusive of applicable taxes, which are collected at checkout.
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You must notify us immediately at support@bwhorizons.com if you suspect unauthorised access.
3. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable regulations;
- Attempt to circumvent access controls, security measures, or rate limits;
- Reverse-engineer, decompile, or extract proprietary data from the Platform;
- Upload or transmit malicious code, spam, or disruptive material;
- Resell, sublicense, or redistribute Platform data or functionality without written consent;
- Use the Platform to facilitate market manipulation, wash trading, or fraudulent transactions;
- Misrepresent your identity, organisation, or regulatory status.
4. Marketplace and Transactions
BW Horizons operates as an infrastructure layer and does not act as a broker, dealer, fiduciary, or counterparty to any transaction. All deals, trades, and agreements are concluded directly between members. BW Horizons bears no liability for the performance, legality, or outcome of any transaction facilitated through the Platform.
Members are solely responsible for conducting their own due diligence, verifying counterparty credentials, and ensuring compliance with applicable commodity trade regulations.
5. Intelligence and Data Services
Market data, analytics, AI-generated summaries, and intelligence reports provided through the Platform are for informational purposes only and do not constitute financial, investment, or legal advice. BW Horizons makes no representation as to the accuracy, completeness, or timeliness of such data. You assume full responsibility for any reliance placed on Platform intelligence.
6. Intellectual Property
All content, software, branding, data models, and technology comprising the Platform are the exclusive property of BW International Ltd or its licensors, protected by UK and international intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to access the Platform solely for your internal business purposes during your active subscription term.
You retain ownership of data you upload to the Platform. By uploading, you grant BW Horizons a non-exclusive licence to process and store that data solely for the purpose of providing the service.
7. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed through the Platform. Counterparty identities, deal terms, and commercial communications are strictly confidential and shall not be disclosed to third parties without explicit written consent, except as required by law or regulation.
8. Fees and Payment
Subscription fees are billed in advance on a monthly or annual basis via Stripe. All payments are non-refundable except as expressly stated in our Refund Policy. In the event of a failed payment, access may be suspended until the outstanding balance is settled. BW Horizons reserves the right to update pricing with 30 days' written notice.
9. Cancellation and Termination
You may cancel your subscription at any time via the customer portal. Cancellation takes effect at the end of the current billing period, after which access to the Platform will cease. BW Horizons may terminate your account immediately if you materially breach these Terms, fail a compliance review, or become subject to sanctions. Upon termination, your data remains exportable for 30 days.
10. Limitation of Liability
To the maximum extent permitted by applicable law, BW Horizons shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
BW Horizons' aggregate liability for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless BW Horizons, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) any transaction you conduct through the Platform; or (d) your violation of any third-party rights.
12. Modifications to Terms
BW Horizons reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-platform notification. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating litigation, both parties agree to attempt resolution in good faith within 30 days of written notice.
