This Risk Disclosure Statement is provided by BW International Ltd ("BW Horizons," "we," "us," or "our") and applies to all members and users of the BW Horizons platform. Read it carefully before using the Platform.

1. Nature of the Service

BW Horizons is a B2B networking platform for verified commodity professionals. We do not provide investment advice, brokerage services, custody, clearing, settlement, or financial intermediation of any kind. Members enter into trade agreements directly with one another; BW Horizons is not a party to any such agreement.

2. Market Risks

Commodity markets are inherently volatile. Prices can fluctuate significantly and rapidly due to geopolitical events, supply disruptions, currency movements, weather, regulatory changes, and macroeconomic conditions outside any participant's control. Past performance, indicative pricing displayed on the Platform, or third-party market data is not indicative of future results.

3. Counterparty Risk

While BW Horizons verifies member identity and basic commercial credentials, we do not guarantee the financial performance, solvency, operational capacity, or integrity of any counterparty. Members enter into trade agreements at their own risk and are solely responsible for evaluating the suitability of each counterparty.

Always conduct independent due diligence — including financial, legal, and reputational checks — before transacting with any party introduced through the Platform.

4. Regulatory Compliance

Members are responsible for ensuring their activities comply with all applicable laws and regulations in every relevant jurisdiction. This includes, without limitation:

• Export controls, dual-use regulations, and end-user restrictions;
• International, regional, and national sanctions regimes (OFAC, UK, EU, UN, etc.);
• Anti-money-laundering (AML) and counter-terrorist financing (CTF) obligations;
• Tax, customs, and reporting obligations;
• Sector-specific licensing and permitting requirements.

5. No Guarantee of Outcome

BW Horizons does not guarantee that members will find counterparties, complete transactions, settle disputes, or achieve any specific commercial outcome through use of the Platform. Membership confers access to a network and a set of tools; it does not confer any right to any particular result.

6. Information and Data

Market intelligence, news, prices, and sentiment data shown on the Platform are aggregated from third-party sources and provided for informational purposes only. They are not a recommendation, offer, or solicitation to enter into any transaction. We do not warrant the accuracy, completeness, or timeliness of any third-party data.

7. Limitation of Liability

To the maximum extent permitted by law, BW Horizons shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with use of the Platform, including but not limited to losses from transactions with other members. Full limitation of liability provisions are set out in our Terms of Service.

8. Independent Advice

We strongly recommend that members consult qualified legal, tax, and financial advisors before entering into any commodity transaction. Nothing on the Platform constitutes legal, tax, accounting, or investment advice.

If you do not understand the risks described above, you should not use the BW Horizons Platform.
